1. Acceptance of Terms
By accessing or using the Service, you confirm that you are at least 18 years old, have the authority to bind yourself (or your business) to these Terms, and agree to comply with them. If you are using the Service on behalf of a business, you represent that you have authority to accept these Terms on its behalf.
2. Service Description
VoiceAgent provides an AI-powered receptionist that answers phone calls, books appointments, qualifies leads, and performs other automated tasks on behalf of your business. The Service includes a web dashboard for managing settings, viewing call logs, and accessing analytics.
We continuously improve the Service. Features may be added, modified, or removed. We will provide reasonable notice for material changes that affect your use.
3. Your Account
- You must provide accurate and complete registration information.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- Notify us immediately at support@voiceagent.com if you suspect unauthorized access to your account.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Make unsolicited or illegal robocalls or telemarketing calls
- Harass, threaten, or defraud callers
- Transmit malicious code or interfere with the Service's infrastructure
- Impersonate another person or entity
- Collect personal information from callers for purposes unrelated to your business
- Resell or sublicense the Service without written permission
We reserve the right to suspend or terminate accounts that violate these restrictions.
5. AI & Accuracy Disclaimer
The AI receptionist is designed to handle common business interactions, but it is not perfect. It may occasionally misunderstand callers, provide incomplete responses, or fail to complete a task as expected. You acknowledge that:
- AI-generated responses may contain errors or inaccuracies
- The AI is not a substitute for licensed professional advice (legal, medical, etc.)
- You are responsible for reviewing call outcomes and correcting any issues
- You should configure fallback options (e.g., transfer to a human) for critical interactions
6. Call Compliance (TCPA & Applicable Laws)
You are responsible for ensuring your use of the Service complies with the Telephone Consumer Protection Act (TCPA), state telemarketing laws, and any other applicable regulations. This includes:
- Obtaining required consent before making outbound calls
- Maintaining and honoring do-not-call lists
- Providing required disclosures to callers (e.g., call recording notices)
- Following time-of-day restrictions for outbound calls
VoiceAgent provides tools to help with compliance (e.g., recording disclosures, do-not-call list management), but compliance is ultimately your responsibility.
7. Billing & Payments
- Fees are based on your selected plan and usage. Current pricing is available on our website.
- Payments are processed through Stripe. By providing payment information, you authorize recurring charges.
- You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
- We may change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance.
- Refunds are handled on a case-by-case basis. Contact support@voiceagent.com for billing disputes.
8. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by VoiceAgent and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business operations during your subscription.
You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Service.
9. Data Ownership
You retain ownership of your business data, caller information, and call recordings. We do not claim ownership of your content. We use your data only as described in our Privacy Policy and to provide the Service.
You grant us a limited license to process, store, and transmit your data as necessary to operate the Service and its integrations.
10. Termination
Either party may terminate this agreement at any time. You can cancel your account through the dashboard settings or by contacting support.
We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay outstanding fees.
Upon termination, your access to the Service ends. You may export your data before cancellation. We will delete your data within 30 days of account deletion, except where retention is required by law.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or available at all times. Scheduled maintenance and unforeseen outages may occur.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICEAGENT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify and hold harmless VoiceAgent, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any law or third-party rights.
14. Governing Law
These Terms are governed by the laws of the State of [Your State], without regard to conflict-of-law principles. Any disputes will be resolved in the courts of [Your State/County], and you consent to personal jurisdiction in those courts.
